ReportShell™ is commercial software developed and offered by Bivektor, Inc.
These Terms of Service (“Terms”) govern your access to and use of the ReportShell website, documentation, downloads, and related online services (collectively, the “Website”), operated by Bivektor, Inc. (“Bivektor,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website.
These Terms apply solely to your use of the Website.
Use of the ReportShell software (the “Software”), including development, evaluation, and production use, is governed exclusively by the applicable End User License Agreement (EULA).
In the event of any conflict between these Terms and the EULA, the EULA shall prevail with respect to software usage and licensing.
You agree to use the Website only for lawful purposes and in compliance with these Terms.

Certain features (such as license purchases, support requests, or bug reporting) may require you to provide contact or account-related information.
You are responsible for ensuring that information you provide is accurate and up to date.
All prices are denominated in U.S. Dollars (USD). Depending on your location, prices may also be displayed in your local currency at checkout; the charge amount in USD remains the governing price. Prices are tax-inclusive. Bivektor, Inc. does not currently collect sales tax, VAT, or similar transaction taxes. If local tax is owed by the buyer in their jurisdiction, the buyer is responsible for remitting it.
Purchases of licenses and support plans are processed through Stripe, Inc. Bivektor, Inc. does not store full payment card information.
A license key may be issued at or after purchase. Bivektor, Inc. may request additional information reasonably necessary to determine the applicable license grant before issuing a key. License keys are delivered by email to the address provided at checkout.
Support plans are sold as 12-month subscriptions in either a Standard or Premium tier. After purchase, the customer designates named contact(s) by email.
Support subscriptions renew automatically at the end of each 12-month period unless cancelled before the renewal date.

After 14 days, all sales are final, except where a refund is required by applicable law.

If you believe a charge is incorrect, please contact reportshell@bivektor.com before initiating a chargeback so we can resolve the issue directly.
All content on the Website, including text, documentation, graphics, logos, trademarks, and software-related materials, is the property of Bivektor, Inc. or its licensors.
Except as expressly permitted, no content from the Website may be copied, modified, distributed, or reused without prior written consent.
The Website may contain links to third-party websites or services.
Bivektor, Inc. is not responsible for the content, availability, or practices of third-party sites and does not endorse them.
THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
BIVEKTOR, INC. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIVEKTOR, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE.
IN NO EVENT SHALL BIVEKTOR, INC.’S TOTAL LIABILITY RELATED TO THE WEBSITE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
We may suspend or terminate your access to the Website at any time if you violate these Terms or misuse the Website.
Termination of Website access does not affect any rights or obligations under the EULA or other agreements.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Any disputes arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Delaware.
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last Updated” date.
Continued use of the Website after changes become effective constitutes acceptance of the updated Terms.
